Vendor Integrity Pledge

We, ____________________________________________________________ (Company Name)  (Registration Number: ____________________ ) (Registration Of Company, ROC), (hereinafter referred to as the “Vendor” which includes its directors, officers and employees who intend to conduct Business Transaction(s))* with UBF MAINTENANCE SDN BHD (UBF) do hereby:

1. PLEDGE—AND UNDERTAKE THAT:
a. We have read and understood, and shall comply with

(i) the Vendor Code of Business Conduct (The Vendor-COBC);
The Vendor COBC is attached as Appendix 1, which outlines the standards of behaviour
required from the Vendor relating to:

(a) Labour D Human Rights;
(b) Environment, Safety D Health; and
(c) Ethics D Management Practices

(ii) all applicable laws and regulations relating to anti-bribery, fraud and corruption; and the following anti-corruption principles:

(a) Committing to promote values of integrity, transparency, accountability and good corporate governance;
(b) Strengthening internal systems that support corruption prevention;
(c) Fighting any form of corrupt practice: and
(d) Supporting corruption prevention initiatives by the Government and the local authorities:
(all the abovementioned anti-corruption principles hereinafter collectively referred to as “The Anti-Corruption Requirements”)

b. We will ensure our subsidiaries, affiliates, employees, associated persons, and all other parties appointed by us to conduct the work(s) for UBF shall also comply with The Anti- Corruption Requirements.

2. WE CONFIRM THAT:
a. We have not been convicted nor are we the subject of any investigation, inquiry or enforcement proceedings by the relevant authorities of any actual or suspected breach to The Anti-Corruption Requirements and we shall report to UBF any actual or suspected breach to The Anti- Corruption Requirements as soon as reasonably practicable and to the extent permitted by law.

3. WE AGREE THAT:
a. In the event that we are in breach of any of the above sections, UBF shall have the absolute—right to revoke the contract awarded to us, or terminate the contract for the Business Transaction(s)* without any liability whatsoever on the part of UBF to us. This is without prejudice to any other rights or remedies that UBF may have or any other appropriate action which UBF may seek under the terms of the applicable tender/contract or applicable laws and regulations

b. Should any person attempt to solicit any bribe or advantage (whether financial or otherwise) from the Vendor or any other person connected to the Vendor either as an inducement or incentive to be selected or as a reward, gift or bonus for being selected in the Business Transaction(s)*, or where the Vendor has reasonable grounds to suspect any breach of the obligations in this VIP or the Vendor COBC, the Vendor shall report such act to UBF as soon as reasonably practicable.

*Business Transaction(s) is (are) defined as Tenders, Ouotations, Contracts, Letter of Awards and Purchase Orders
